1.0   Name
     
    The name of the Association is: The Human Resources Management Association of Lethbridge (HRMAL).
     
2.0   Membership
     
  2.1 There shall be five categories of memberships:
    A. Regular Members
Individuals who practice Human Resources as a major and ongoing part of their employment with their employing organizations, or are consultants, employees of job placement agencies and others who provide Human Resources Management services on a full-time basis.

B. Associate
   • Individuals who do not qualify for Regular Memberships but who have completed a recognized Human Resources diploma or degree program in the last five years and are currently unemployed.
   • Individuals whose employment would have qualified for Regular Membership in the last five years but who are currently unemployed.
   • Individuals who have accountability for Human Resources activities within their employing organization but do not qualify for Regular Membership.
   • Educators at a University, College or similar post-secondary institute whose major responsibility is teaching, research or consulting in the field of Human Resources.

C. Student Members
Full-time students enrolled in a recognized University or College concentrating their studies in Human Resources Management.

D. Retired Members
Members of the Association who have fully retired from a career in Human Resources.

E. Honorary Members
Members of the Association who are no longer active in the field of Human Resources and who have made an outstanding contribution to the Association or to the field of Human Resources. Honorary Members are appointed through nomination by the Executive Committee and are subject to approval by a majority vote of the members at a General Meeting of the Association. Honorary Members shall be entitled to all the privileges of the Association except the right to hold office.
     
3.0   Fees
     
  3.1     The annual fees for membership in the Association shall be fixed by majority vote of members in good standing and present at any General or Annual Meeting.
  3.2     Membership fees for Associate members will be 100% of the Regular membership fee. Membership fees for Student and Retired members will be 50% of the Regular membership fee. Honorary members will be exempt from payment of membership fees.
  3.3     Membership fees will be pro-rated at 65% of the applicable fee for memberships accepted after March 31st of each year.
  3.4     The Membership and Social Coordinator, after 30 days from the date of original billing, shall e-mail or mail a written notice of default to all members who have not paid their annual fees by that time. Any member who does not pay his annual fees within 30 days after mailing date of such notice, shall at that time cease to be a member of the Association and will be so notified.
     
4.0   Officers
     
  4.1     The Association shall be governed by an Executive Committee elected by members at the Annual General Meeting. 
  4.2     The Executive Committee shall, subject to the Constitution, By-Laws and Directives given by majority vote at any General Meeting or Annual General Meeting properly called and constituted, have full control and management of the business and affairs of the Association.
  4.3

    The Executive Committee shall consist of:
            President
            Past President
            President-Elect
            Records Administrator
            Treasurer
            Membership and Social Coordinator
            Programs and Public Relations Coordinator

  4.4     The Executive Committee will be elected for a period of two years commencing on the day following an Annual General Meeting and expiring on the date of an Annual General Meeting. On a rotating basis, one-half of the Executive Committee positions will be open for nomination and election each year.
  4.5     The current President and the most recent available Past President shall serve as a Nominations and Elections Committee, whose duty it shall be to present a slate of candidates for the vacant Executive Committee positions. Any Regular member in good standing may be elected to the position of President and President-Elect. Any Associate, Student, or Retired Member in good standing, may be elected for the position of Records Administrator, Treasurer, Membership and Social Coordinator, or Programs and Public Relations Coordinator. Such nominations would be accepted provided that such nomination has been duly seconded.
  4.6     The election of officers shall be by a majority vote of the Members present at the Annual General Meeting.
  4.7     In the event of a vacancy on the Executive Committee, the Committee may appoint a successor from amongst members of the Association to hold office until the next Annual General Meeting.
  4.8     The Treasurer shall be responsible for all funds of the Association, maintain a complete set of accounts, and shall prepare for submission to the Annual General Meeting a statement audited in accordance with these By-Laws, of the financial position of the Association and maintain a copy of same for the records of the Association.
  4.9     An Auditor shall be appointed by the members at each Annual General Meeting. 
  4.10     Signing authority for the Association’s business shall be any two of the President, President-Elect, or the Treasurer.
     
5.0   Fiscal Year
     
       The Fiscal year shall be from June 1 to May 31. 
     
6.0   Meetings
     
  6.1     General Meetings of the Association shall be held monthly or as determined by the Executive Committee. 
  6.2     The Annual General Meeting shall be held in June of each year. 
  6.3    Reports from each Executive Committee member together with the audited financial statements will be presented at the Annual General Meeting.
  6.4    Meetings of the Executive Committee shall be held as often as the business of the Association shall require. The President, or in his/her stead the President-Elect, shall preside as Chairman at the meetings. A majority of the Executive Committee members present shall constitute quorum.
     
7.0   Amendments
     
      The Constitution & By-Laws of the Association shall not be rescinded, altered or added to, except by special resolution of the Association passed:
        i. by a notice of said motion being emailed to all members, and;
        ii. at a General Meeting of which not less than 21 days’ notice specifying the intention to amend the By-Laws is given, and;
        iii. by the vote of not less than 75% of those members who vote in person at the Annual General Meeting.
     
8.0 Code of Conduct
   
 

8.1

     Each member shall be guided by the highest standards of business ethics, personal honor and professional conduct.

  8.2      Every member shall support the objectives of the Association. 
  8.3      The Association shall not be used for business promotion. Business solicitation at the meetings or use of membership for business promotion may be considered improper conduct and may lead to revocation of membership.
  8.4    The membership roster and/or the names of our members and the companies and the companies represented by the membership shall not be given or loaned to any organization, firm or other Association without the written consent of the Executive Committee.
  8.5    No officer or member of the Association shall receive remuneration for any personal services provided to or on behalf of the Association.
